PREAMBLE
These Amended and Restated Bylaws of Canon Envirothon (the “Corporation”) are subject to, and governed by, the Texas Business Organizations Code (the “TBOC”) and the Amended and Restated Certificate of Formation of the Corporation (the “Certificate of Formation”). In the event of a direct conflict between the provisions of these Bylaws and the mandatory provisions of the TBOC or the provisions of the Certificate of Formation, such provisions of the TBOC or the Certificate of Formation, as the case may be will be controlling.Section 12.
